6. Delivery Terms

Delivery services are subject to geographic availability within our designated service areas. Estimated delivery times are approximations only and are not guaranteed. Delivery times may be affected by factors outside our control, including traffic, weather conditions, high order volumes, and other circumstances.

It is your responsibility to provide a complete and accurate delivery address. Wing Snob shall not be liable for failed or delayed deliveries resulting from inaccurate address information provided by you. If a delivery attempt is unsuccessful due to your absence or inaccessibility at the delivery location, Wing Snob may, at its discretion, leave the order in a safe location or charge a redelivery fee.

Delivery fees, minimum order requirements, and service area boundaries are subject to change and will be displayed on the Site at the time of ordering.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL WING SNOB, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, business, or goodwill;
• Business interruption or loss of business opportunity;
• Personal injury or property damage;
• Unauthorized access to or alteration of your transmissions or data;
• Any other indirect, incidental, or consequential damages arising from or related to your use of, or inability to use, the Site or our services.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations of liability set forth herein shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether Wing Snob has been advised of the possibility of such damages.

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you. In those states, Wing Snob's liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob, and its respective officers, directors, owners, employees, agents, licensors, service providers, and successors and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use of the Site or our services, including, but not limited to, any use of the Site's content, services, and products other than as expressly authorized in these Terms;
• Your violation of any third-party rights, including without limitation any copyright, trademark, property, publicity, or privacy right;

11. Governing Law and Jurisdiction

For customers located in California, additional rights may be available under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and other applicable California consumer protection laws. Nothing in these Terms is intended to limit any rights you may have under applicable state law.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts of competent jurisdiction in the United States. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Dispute Resolution

12.1 Informal Resolution

Wing Snob will attempt to resolve the dispute internally as soon as reasonably practicable. If a dispute cannot be resolved informally within thirty (30) days, you and Wing Snob agree that any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or our services — including questions about the existence, validity, or termination of these Terms — shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

The arbitration shall be conducted on an individual basis, and you expressly waive your right to participate in any class action, class arbitration, consolidated arbitration, or representative proceeding of any kind.

12.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Wing Snob agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute. Additionally, either party may bring an individual action in small claims court for disputes that qualify under the applicable small claims court rules and jurisdictional limits.

13. Term and Termination

These Terms of Service are effective as of the date you first access or use the Site and shall remain in full force and effect for as long as you continue to use the Site or our services, unless earlier terminated in accordance with this section.

Wing Snob reserves the right, in its sole discretion and without notice or liability, to:

In the event of a Force Majeure Event, Wing Snob will use commercially reasonable efforts to resume normal operations as soon as practicable. Our obligations under these Terms will be suspended for the duration of the Force Majeure Event to the extent affected.

18. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, shall be severed from these Terms.
